![]() What is a Partnership? If you are one of those people who do not want to go be alone and set up a business then what you need to look for is a partnership. You will now not need to be the only one who is the owner as well as the operator of that business you have set up along with a business partner. This sort of a business is called as partnership. Here you will be able to generate a number of new ideas with the help of your partners. There is no limit to this so you can have more than two members who are the owners of that business that you are setting up or have set up. The law in Canada has not yet set up a limit for the number of people that you have to have to be able to run a business on the basis of a partnership. So as in for now it is all up to you on how you want to take that business in to your hands. In Canada there are three different types of these. It totally depends on the territory or the province that your business will be operating and also on what sort of a business you are going to do to help you set up a business on the basis of a partnership. There can be any other relationships than a general one also.
First let us look in to what is called the general one. The most common type of this is what is known as the general one. In such a relationship, each and every partner is jointly and severally liable to all the debts that arise due to that partnership. The next type of this is the limited one. This limited one is an arrangement where the people can contribute to the business by not being involved in all the affairs of that relationship. If you are a limited partner then your liability to that firm or even the creditors is limited too, as long as you keep investing in that firm. When you decide to stay as a limited partner in that partnership, you will not have to take part in the management of that business and also not act on your own or even on the behalf of the firm. If you do this, then you are a general partner and not a limited partner. In some of the provinces in the country of Canada you are only allowed to operate as limited partners and not as general partners. In Canada you also have what is called the limited liability one. This type of a partnership is available to only the groups of professionals who are generally lawyers, doctors or even accountants. The agreements of this partnership are governed by a specific legislation of a province. For example, in Ontario at the present the lawyers and the chartered accountants are only those who are certified the general accountants and the only ones who may be able to form the limited liability. |
